Terms of Service

1. Agreement to Terms

By accessing or using the VybeCode Ltd website (vybeco.de) or any of our software products and services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

"VybeCode," "we," "us," and "our" refer to VybeCode Ltd, a company registered in the United Kingdom. "You" and "your" refer to the individual or entity accessing our Services.

2. Our Services

VybeCode Ltd develops and operates software products including, but not limited to:

  • ActiveAura (activeaura.app)
  • Audio PromptMonster (apmonster.ai)
  • Ide/AI (myide.ai)
  • VybeDesk (vybedesk.com)
  • KaptureVault (kapture.tools)
  • Mindhelp.ing (mindhelp.ing)

Each product may have additional terms specific to its use. Where product-specific terms conflict with these general Terms, the product-specific terms prevail for that product.

3. Account Registration

Some Services require an account. When creating an account, you agree to:

  • Provide accurate and complete information.
  • Maintain the confidentiality of your login credentials.
  • Notify us immediately of any unauthorised access to your account.
  • Accept responsibility for all activity under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for an extended period, with reasonable notice where practicable.

4. Acceptable Use

You agree not to use our Services to:

  • Violate any applicable law, regulation, or third-party rights.
  • Transmit malware, viruses, or any code designed to harm or disrupt.
  • Attempt to gain unauthorised access to our systems, other users' accounts, or networks connected to our Services.
  • Scrape, crawl, or harvest data from our Services without prior written consent.
  • Use our Services to send unsolicited communications (spam).
  • Reverse engineer, decompile, or disassemble any part of our software, except where permitted by applicable law.
  • Resell, sublicense, or redistribute our Services without authorisation.

5. Intellectual Property

All content, code, designs, trademarks, logos, and other materials associated with VybeCode and our products are the intellectual property of VybeCode Ltd or our licensors. These Terms do not grant you any right, title, or interest in our intellectual property except the limited right to use our Services as intended.

Your content: You retain ownership of any content you submit or create through our Services. By submitting content, you grant us a limited licence to process, store, and display that content as necessary to provide the Service to you.

6. Pricing & Payments

Where applicable, product pricing is displayed clearly on the relevant product page. We believe in transparent pricing:

  • All prices are listed upfront with no hidden fees.
  • We will notify you of any price changes at least 30 days in advance.
  • Free tiers, where offered, remain free unless we notify you otherwise with reasonable notice.

Payments are processed through third-party payment processors. We do not store your payment card details directly. Refund policies are specified per product.

7. Service Availability

We strive to maintain high availability of our Services but do not guarantee uninterrupted or error-free operation. We may temporarily suspend access for maintenance, updates, or security reasons. Where possible, we will provide advance notice of planned downtime.

8. Termination

You may stop using our Services at any time. You may request account deletion by contacting us, and we will process your request within 30 days.

We may suspend or terminate your access to our Services if:

  • You breach these Terms.
  • Your use poses a security risk to our systems or other users.
  • We are required to do so by law.

Where practicable, we will provide notice and an opportunity to cure the breach before termination, unless the breach is severe or poses an immediate risk.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Our Services are provided "as is" and "as available" without warranties of any kind, whether express or implied.
  • VybeCode Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services.
  • Our total aggregate liability for any claim arising from these Terms or your use of our Services shall not exceed the amount you paid us in the 12 months preceding the claim, or £100, whichever is greater.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

10. Indemnification

You agree to indemnify and hold harmless VybeCode Ltd, its officers, directors, and employees from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your violation of these Terms or your misuse of our Services.

11. Privacy

Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it carefully.

12. Governing Law & Disputes

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of our Services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before initiating formal proceedings, both parties agree to attempt to resolve disputes informally by contacting us at vybeco.de/contact.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will:

  • Update the "Last updated" date at the top of this page.
  • Provide reasonable notice (e.g., via email or website banner) for significant changes.
  • Give you at least 30 days before new terms take effect for changes that materially reduce your rights.

Your continued use of our Services after the updated Terms take effect constitutes acceptance.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its original intent.
